Welcome to Cwebi. These Terms and Conditions ("Terms") govern your use of our web development services, including Ruby on Rails development, React applications, SaaS products, e-commerce platforms, API development, admin panels, and related software solutions. By engaging our services, you agree to comply with and be bound by these Terms.

1. Service Agreement and Scope

Cwebi provides professional web development services including custom web applications, Ruby on Rails backend development, React frontend development, SaaS product development, e-commerce platform creation, API development, admin panel design, and related technical consulting services.

Each project begins with a detailed proposal outlining scope, deliverables, timeline, and pricing. This proposal, once accepted, becomes part of these Terms. Any changes to project scope, timeline, or budget require written agreement from both parties. We reserve the right to decline projects that fall outside our expertise or business focus.

2. Payment Terms and Pricing

Project pricing is determined based on complexity, scope, timeline, and specific requirements. All prices are quoted in writing and remain valid for 30 days. Payment terms vary by project but typically include:

  • Initial Deposit - A deposit (typically 30-50% of total project cost) is required to commence work on your project
  • Milestone Payments - Payments are structured around project milestones (e.g., design approval, development phases, testing completion)
  • Final Payment - Final payment is due upon project completion and delivery. Late payments may incur fees as specified in the project agreement

All invoices are due within 14 days unless otherwise specified. We reserve the right to suspend work on active projects if payments are overdue. All fees are non-refundable except as explicitly stated in the project agreement.

3. Intellectual Property and Ownership

Upon full payment, you receive ownership of the custom code, designs, and deliverables created specifically for your project. This includes Ruby on Rails applications, React components, SaaS platform code, e-commerce systems, APIs, and related documentation developed exclusively for you.

3.1. Client Ownership Rights

You own the intellectual property rights to custom work created for your project. This includes application source code, database schemas, custom designs, and project-specific documentation. However, pre-existing frameworks, libraries, third-party tools, and general development methodologies remain the property of their respective owners or Cwebi.

3.2. Cwebi Retained Rights

Cwebi retains the right to:

  • Portfolio Usage - Display your project in our portfolio, case studies, and marketing materials unless otherwise agreed in writing
  • Development Tools - Use proprietary development tools, methodologies, and frameworks we've created in other projects
  • Reference Work - Reference general technical approaches and solutions in future projects, while maintaining confidentiality of specific business logic
  • Third-Party Components - Use open-source libraries, frameworks (Ruby on Rails, React, etc.), and third-party tools as needed, subject to their respective licenses
  • Proprietary Solutions - Retain ownership of any pre-existing code, templates, or solutions not specifically created for your project

4. Project Deliverables and Acceptance

Cwebi will deliver completed projects according to the agreed specifications and timeline. Deliverables typically include:

  • 1.
    Source Code - Complete, documented source code for your application, including Ruby on Rails backend, React frontend, or full-stack solutions as specified
  • 2.
    Documentation - Technical documentation, setup guides, API documentation, and deployment instructions for your development team
  • 3.
    Deployment Support - Assistance with initial deployment to staging and production environments, including configuration and setup
  • 4.
    Training - Knowledge transfer sessions for your team to understand the codebase, architecture, and maintenance procedures
  • 5.
    Warranty Period - A 30-day warranty period covering bug fixes and issues related to our delivered work, excluding feature additions or changes

Client Responsibilities

To ensure successful project delivery, clients are responsible for providing timely feedback, necessary access to systems and accounts, required content and assets, and clear communication regarding requirements and changes. Delays in client feedback may impact project timelines and deliverables.

5. Warranty, Support, and Maintenance

All delivered work includes a 30-day warranty period covering bug fixes and technical issues. After the warranty period, ongoing support and maintenance are available through separate service agreements. This includes:

  • Bug Fixes - Correction of defects and issues in delivered code during the warranty period
  • Technical Support - Ongoing technical support available through maintenance agreements
  • Updates and Upgrades - Framework updates, security patches, and feature enhancements available as separate services

6. Limitation of Liability

Cwebi's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project. We are not liable for indirect, incidental, or consequential damages, including lost profits or data loss. Clients are responsible for backing up their data and maintaining appropriate security measures.

7. Confidentiality

Cwebi agrees to maintain confidentiality of all client information, business data, and proprietary information shared during the course of projects. We implement appropriate security measures to protect sensitive information and comply with applicable data protection regulations.

8. Termination and Cancellation

Either party may terminate a project with 30 days written notice. Upon termination, the client is responsible for payment for all work completed to date. Cwebi will deliver all completed work and documentation. Cancellation fees may apply as specified in the project agreement.

9. Changes to Terms

Cwebi reserves the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of updated Terms. Material changes will be communicated to active clients. Existing projects will continue under the Terms in effect at project commencement.

Effective Date

These Terms & Conditions are effective as of January 1, 2025, and apply to all services provided by Cwebi. By engaging our web development, Ruby on Rails, React, SaaS, e-commerce, or API development services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
